1. The service and acceptance of these terms
DraftYes is a cloud service provided by WeCanDev LLC to create, send and track commercial quotes and invoices and get client approval online. By creating an account or using the service you agree to these terms, the privacy policy and the refund policy. If you use the service on behalf of a company, you confirm that you have the authority to bind it to these terms.
2. Eligibility
The service is intended for businesses and professionals, and you must be at least 18 years old to use it.
3. Account and security
You are responsible for the accuracy of your account details and for everything done through it, and for inviting your team members, setting their permissions and removing those who leave. You log in with a single-use link sent to your email; don't share these links or your document links with anyone not entitled to see them, and tell us immediately if you suspect unauthorized use.
4. Acceptable use
You may not use the service to send unlawful, misleading or fraudulent content, to send unsolicited messages (spam), to impersonate another party, or to attempt to access others' data or disrupt or overload the service by automated means. We may suspend any account that does so.
5. Your content and messaging your clients
Your data and documents remain yours, and you grant us only the permission needed to host, process and display them to you and to those you send their links to. You are responsible for the accuracy of your quotes and invoices, and for having the right to message your clients on WhatsApp or by email. WhatsApp sending happens from your own account through wa.me links, and DraftYes is not affiliated with WhatsApp or Meta.
6. Plans, prices and taxes
A permanent Free plan is available with limits (number of users and monthly sends), as well as monthly or yearly paid plans paid in advance through Stripe in US dollars. Prices exclude taxes, and tax due in your country may be added at checkout. We may change prices or the Free plan's limits; any increase on an existing subscription applies from the next renewal, after at least 30 days' notice.
7. Renewal, cancellation and refunds
Your subscription renews automatically at the end of each period until you stop it. You can stop renewal at any time from the subscription page; your subscription stays active until the end of the paid period, then your account moves to the Free plan without deleting your data. Payments are non-refundable, as described in the refund policy. When you change plans mid-period, the difference for the rest of the period is calculated. If a renewal payment fails, the account may move to the Free plan until the payment method is updated.
8. Our intellectual property
The service, its design, logo and software belong to WeCanDev LLC. You may not copy, sell or redistribute it, or attempt to extract its source code.
9. E-invoicing and signatures
DraftYes is a tool for commercial quotes and invoices, and not a certified e-invoicing solution with any government authority (such as ZATCA Phase 2 in Saudi Arabia or ETA in Egypt). A client's approval through it is a record of their acceptance (name, time and device), not a certified electronic signature. You are responsible for complying with the tax and commercial regulations in your country.
10. Availability and limitation of liability
We work to keep the service available and secure, but it is provided "as is" and may stop temporarily for maintenance or for reasons beyond our control. We are not liable for indirect losses, lost profits or lost deals. In all cases our total liability does not exceed what you paid us in the twelve months before the claim.
11. Indemnification
You agree to indemnify WeCanDev LLC against any third-party claim arising from your content or from your use of the service in breach of these terms or the law.
12. Account termination
You can stop using the service and ask us to delete your account at any time. We may suspend or terminate an account for breach of these terms, non-payment, or at the request of a competent authority, and we will try to notify you in advance when possible.
13. Changes
We may change these terms, and will notify you of material changes by email or within the service before they take effect. Continuing to use the service afterwards means you accept the updated terms.
14. Governing law and disputes
These terms are governed by the laws of the state in the United States where WeCanDev LLC is incorporated. We first seek to resolve any dispute amicably by contacting us. If any provision is found unenforceable, the remaining provisions stay in effect.
